Associate (Search Fund Accelerator, LLC; Boston, Massachusetts): The Associate will search nationwide for an attractive small business to acquire; and negotiate and close the transaction with the sellers. Specific duties: participate in all stages of the company search and acquisition process, including company identification, research, owner contact, initial discussions, valuing the company, and negotiating and making an offer to buy the business; lead ongoing negotiations with the seller; contact banks and negotiate bank financing to support the acquisition; conduct financial, legal, IT, regulatory, and commercial due diligence; and manage the acquisition process to deal closing, including travel as necessary to undertake due diligence. In the course of performing these duties, will: Apply analytical techniques, such as financial performance analysis, revenue and profitability drivers, cost structure analysis, capital structure analysis, free cash flow generation potential, and other economic and financial analyses. Conduct primary research: conceive, source, and filter investment opportunities for further pursuit; perform first-hand on-site diligence interviewing company management, and market participants including customers, competitors and regulators. Conduct secondary research: source and analyze macroeconomic data, financial analyst reports, industry publications, news sources and other specialty trade materials. Build a detailed financial model of each potential investment that: presents 5-year P&L, cash flow, and balance sheet projections; shows investment returns under a variety of scenarios; justifies key modeling assumptions and highlights the impact on returns of varying the assumptions; and analyzes the ability of the business to support varying levels of funded and unfunded debt while meeting the financial covenants imposed by lenders. Compare and contrast different investment opportunities both within and across geographies. Interpret a wide variety of investment, financial, and macroeconomic data, including financial statements and macroeconomic data. Derive informed and thoughtful insights, displaying sound business judgment in investment recommendations. For each recommended investment, prepare and present an investment memorandum to the firm's Investment Committee based on insights and outcomes of the investment analysis and analytical modeling. Work on project team, requiring effective process management. Demonstrate strong team-building and communication skills with both senior management (the Investment Committee) and junior team members. Review and audit the work of analysts and interns. Provide oversight and guidance in the execution of detailed analysis and diligence of target companies. Review and analyze materials prepared by analysts and interns. Build strong, credible relationships with owners of target companies. Build and manage relationships with external partners such as bankers, lawyers, accountants, consultants, and other specialty advisors, and work with their teams to facilitate diligence and execution of investment opportunities. Work with financing sources to determine optimal capital structures, negotiate key financing terms and execute on key legal and regulatory documents. Manage the transaction to successful closing on terms approved by the Investment Committee. Travel will comprise 10% of the job.
Minimum requirements: Master's degree in Business Administration or a related discipline plus 3 years of experience in business operations, including recruiting and managing employees. Required Skills: 3 years of business experience, including experience in both financial analysis and business operations; strong financial acumen, including experience with P&Ls, balance sheets, cash flow statements; knowledge of analytical methods (e.g., investment returns analysis; LBO analysis; DCF; optimal capital structure) to evaluate investments; and highly developed communication, interpersonal, and negotiating skills.
